Manager of a continuing professional training establishment

In order to engage in the activity of managing a continuing professional training establishment, business managers must hold a business permit issued following approval by the minister whose remit includes professional training.

Who is concerned?

Companies that manage a continuing professional training establishment.

These service providers offer training or teaching classes (excluding school education and training) aimed at acquiring, maintaining or extending qualifications in the context of:

  • skills updates for workers and heads of business concerning organisational, production or marketing techniques and technologies;
  • professional re-orientation of workers or heads of business;
  • the promotion and transfer of workers to more demanding tasks or positions with more responsibility and a better recognition of skills and potential which is not or insufficiently used.

The permit is only required for the provision of training to third parties outside the company.

It is not required for:

  • legally established continuing professional training establishments in another EU Member State or in a country that has signed a bilateral agreement with Luxembourg on professional training and that hold a business permit in the country of origin;
  • businesses that provide equipment and services to promote technological progress and offer training in relation to the equipment provided;
  • providers who have been approved by the Ministry of Health and Social Security.

Prerequisites

Compliance with the conditions for access to the profession is verified by the General Directorate for Small and Medium-Sized Enterprises at the time the application for a business permit is submitted.

Sole proprietorship

Natural persons who wish to carry out the activity in their own name, in the context of a sole proprietorship, must meet the legal conditions of professional integrity.

Company

Companies carrying out the activity must appoint at least one natural person, the business manager, who must:

  • meet the legal requirements in terms professional integrity;
  • effectively manage the day-to-day business on a permanent basis;
  • have a genuine link with the company (be the owner or authorised representative registered in the Trade and Companies Register); and
  • have paid all social security contributions and taxes, either in their own name or through the company they manage or have managed.

Ministerial approval

Engaging in the commercial activity of managing a continuing professional training establishment may only be authorised with the approval of the minister whose remit includes professional training.

Business permit

The business permit is issued to the company (either to the manager operating in their own name, or to the company they run) if the manager meets the legal conditions of professional integrity.

Place of business

The company or sole proprietorship must have a fixed place of business in Luxembourg (no 'letter-box' companies).

Necessary qualifications

The manager must have the qualifications required to manage a continuing education establishment, which can be based on:

  • either a university or higher education diploma or a university or higher education degree certifying the completion of a full study cycle of 3 years (issued by a higher education establishment recognised by the State in which the establishment is located and registered in the register of certificates); or
  • professional experience as a manager of a continuing professional training establishment in another Member State of the European Union; or
  • 3 consecutive years of experience in a self-employed capacity, as a company director or as an employee if they have received training for the profession attested by a certificate recognised by the Minister of the Economy; or
  • 2 consecutive years of experience in a self-employed capacity or as a company director, if they can prove that they have received training in business management attested by a recognised certificate or that they have practised the profession for at least 3 years as an employee.

The activity in a self-employed capacity or as a company director must not have ended more than 5 years before the date of submission of the application for a business permit.

To qualify as a company director, you must have worked for a continuing professional training establishment:

  • either as a business manager or head of a branch office;
  • or as a deputy director or manager, provided the position included responsibility at the same level as the business manager or director;
  • or in a managerial position, with tasks typical of the profession and in charge of at least one sector of the company.

In order to provide proof of professional qualification as manager of a continuing professional training establishment, business managers must attach the following to their business permit application:

  • a copy of their degrees, diplomas or certificates of successful completion (it is advisable to attach certified true copies for certificates or diplomas issued by bodies outside the EU);
  • in the case of professional experience in another Member State of the European Union:
    • a certificate (EC certificate of experience or equivalent) delivered by the competent authority or body in the country of origin (generally a professional association); and/or
  • in the case of professional experience in Luxembourg:
    • either a certificate of affiliation to the Joint Social Security Centre (Centre Commun de la sécurité sociale - CCSS);
    • or a copy of a business permit previously held for the same profession;
    • or a certificate of affiliation to the National Pension Insurance Fund (Caisse nationale d'assurance pension - CNAP) during 3 consecutive years at least;
  • where applicable, proof of the recognition of professional qualifications issued by the Ministry of Education, Children and Youth.

Please note: the manager of a simplified limited liability company must also file the draft articles of association of the company with the Trade and Companies Register. There is, however, no need to incorporate the company in the presence of a notary. A private deed will suffice.

Obligations of all professionals

Each professional must comply with the following for as long as they carry out their activity:

  • all requirements with respect to obtaining a business permit; and
  • all laws and regulations with respect to business management.

Sanctions

Professionals without a business permit run the risk of criminal sanctions (imprisonment and fines) and the temporary closure of the establishment.
